Instructions for registering a business online

Business registration is a complicated process that requires applicants to go to the Business Registration Office as well as other departments many times to submit, receive and process documents. However, in order to reduce the burden on registrants, the Vietnamese government has issued a decree guiding the registration of business establishments online. Accordingly, registrants will not have to spend a lot of time and effort to register for business establishment as before.

Register a business online

Clause 1, Article 42 of Decree No. 01/2021/ND-CP clearly states: “Business registration via the electronic information network means that the founder of a business or a business registers a business through the national portal on business registration. Organizations and individuals have the choice to use digital signatures in accordance with the law on electronic transactions or use business registration accounts to register businesses via electronic information networks.”

Thereby, online business registration can include two methods: Registration by business registration account or by digital signature.

Business registration with a business registration account

Persons registering to establish a business through a business registration account shall be responsible for all activities related to a business registration account created and issued by the National Information System for Business Registration.

All activities, including providing accurate and legal information about your business as well as business activities after successful business establishment, come with the obligations and responsibilities of the business.

Business registration with a digital signature

Pursuant to Clause 6, Article 3 of Decree 130/2018/ND-CP detailing digital signatures and digital signature authentication services: A digital signature is a form of electronic signature created by transforming a data message using an asymmetric cryptographic system.

Currently, registrants can register to establish a business via digital signature and must submit electronic documents (formatted “.doc” or “.docx” or “.pdf”) through the business registration Portal instead of submitting a paper copy.

Steps to register a business online

According to Articles 44 and 45 of Decree 01/2021/ND-CP, online business registration will go through the following steps:

Step 1: Declare information and download electronic documents, sign and authenticate the application and pay the prescribed fee

Step 2: Process the application

– The applicant will receive a document receipt;

– If the application is eligible for business registration, the Business Registration Office shall issue business registration and notify the business of the grant of business registration.

– If the application is not eligible for business registration, the Business Registration Office shall send a notice via the electronic information network to the business to request the amendment and supplement of the dossier.

Step 3: Get the Certificate of Business Registration

This step is the only step that the registrant needs to go to the Business Registration Office to receive the Certificate of Business Registration.
