What is the company address?

In Article 42 of the Enterprise Law 2020 stipulates:

“Company address is the head office of the enterprise located in the territory of Vietnam, is the contact address of the enterprise and is determined according to the geographical boundaries of the administrative unit; have phone number, fax number and email (if any)”.

When an enterprise registers for operation, information about the company’s headquarters is required. Company address information is disclosed on the business registration certificate, VAT invoice, digital signature. Therefore, if there is a change from the original address, there will be many complicated problems involved. Therefore, enterprises must carry out procedures to change the address of the company’s headquarters when moving to a new location.

The new address of the company may be different from the district, province to another province or city directly under the central government where the enterprise registered for establishment previously.

What is a change of company address?

Change of company address is an administrative procedure carried out at the Department of Planning and Investment to record the new company’s address on the business registration certificate.

Specifically, businesses will have to carry out the procedures for changing address with the tax office before changing the company’s address on the business registration certificate. Then change the company stamp and change the invoice when the company’s address is changed to another distric/ province/city.

What is administrative territory?

  • The owner’s decision on changing the company’s address (for one-member limited liability companies);
  • Decision of the Members’ Council (for 2-member limited liability companies);
  • Decisions of general partners (for partnerships);
  • Decision of the General Meeting of Shareholders (for joint stock companies);
  • The original Official Letter of the Tax Authority (form 09) on consent for the transfer of districts.

In case the company changes its address in a different province/city, the following documents are required:

  • A copy of the company’s charter (amended and supplemented);
  • List of authorized representatives and decisions of the owner (for one-member limited liability companies);
  • List and decisions of the Members’ Council (for limited liability companies with 2 or more members);
  • List and decisions of the General Meeting of Shareholders (for joint stock companies);
  • List and decisions of general partners (for partnerships).

Note: In addition, for small and medium-sized businesses, businesses using virtual office services in wards and districts with changes in administrative boundaries can take the initiative with support from the court management. House.

Before registering to change the company’s address, the enterprise is obliged to complete all procedures with the tax authority, fully pay the outstanding tax or request a refund, and settle the un-withheld VAT. At the same time, enterprises must carry out tax closing procedures before registering to change address information in the following cases:

  • The Vietnamese company changes its head office address in a different place from the old district; no change in tax administration;
  • A foreign-invested Vietnamese company changes its head office address in a different place from the old province.
  • Enterprises need to change the company seal if there is old address information on the seal;
  • Enterprises need to change their address on other relevant documents such as sub-licenses, investment registration certificates, etc.
  • Hang the company sign at the new address;
  • Notify the new address information to the state management agency related to the change of address on the bank account, on the red invoice and register for continued use.
